Remuneration system

The remuneration system for members of the Management Board and Supervisory Board complies with applicable law and the recommendations of the German Corporate Governance Code (DCGK), unless a deviation has been or will be declared. Amadeus Fire AG regularly reviews the remuneration systems and revises it as necessary.

The currently applied remuneration system for the Management Board was put to a vote at the Annual General Meeting on 15 May 2024 as ‘Resolution on the approval of the remuneration system for members of the Management Board’ and was approved with 74% of the votes cast (valid votes cast: 3,299,405, share capital represented thereby: 60.74%, votes in favour: 2,442,716, proportion of votes in favour: 74.04%, votes against: 856,689). The remuneration system for members of the Management Board is described in detail in the underlying remuneration report 2024.

The currently applied remuneration system for the Supervisory Board was put to a vote at the Annual General Meeting on 22 May 2025 as ‘Resolution on the confirmation of the remuneration of the members of the Supervisory Board’ and was approved with 99% of the votes cast (valid votes cast: 3,529,832, share capital represented thereby: 64.98%, votes in favour: 3,529,103, percentage of votes in favour: 99.98%, votes against: 729). The remuneration system for the Supervisory Board is determined by the Annual General Meeting and is governed by Section 13 of the Articles of Association.
