The Supervisory Board

It is the task of the 12-member Supervisory Board of Amadeus Fire AG to appoint, advise and monitor the Management Board. The Supervisory Board is also involved by the Management Board in the company’s strategic alignment and receives regular updates on the implementation of the strategy.

In accordance with the German Co-Determination Act, the Supervisory Board comprises equal numbers of representatives of the shareholders and the employees. The individual members are introduced below.

Christoph Groß (born in 1953, nationality: German) was a certified public accountant and tax advisor and sole managing director of Arthur Andersen, Germany, from 1999 to 2002. After the merger of Arthur Andersen and Ernst & Young in Germany in 2002, he became Deputy Chairman of Ernst & Young, Germany.

In 2006 he became Managing Partner of the Central and Eastern European Area of Ernst & Young and member of the Global Executive Board of Ernst & Young. With the creation of the EMEIA Area (Europe, Middle East, India, Africa) in 2008, he took over as member of the Global Executive Board the function of the Managing Partner Operations in EMEIA up until 2010.

In 2010 he retired of Ernst & Young. Since then he is a self-employed chartered accountant and member of several Supervisory and Advisory Boards, besides being Chairman of the Supervisory Board of Amadeus FiRe AG. His present board memberships are:

Mr. Groß has been an independent member and Chairman of the Supervisory Board of Amadeus Fire AG since 2011.

Dipl. Kfm. Michael Grimm (born 1960, nationality: German) studied business administration at the University of Frankfurt/Main, Germany and initially worked for Arthur Andersen Wirtschaftsprüfungsgesellschaft as a tax consultant and auditor. From 1997 to 2002, he worked at Hoechst AG and supported the transformation of Hoechst AG into Aventis S.A.. From 2002 to 2005, Mr. Grimm was a member of the Executive Board at Grohe Water Technology AG & Co. KG and responsible for finance, controlling and investments, then Managing Director of Triton Beteiligungsberatung GmbH. From 2008 to 2020, he was Commercial Managing Director of Dr. Johannes Heidenhain GmbH. From January 2019 to March 2020, Michael Grimm was a member of the Executive Board of Diadur SE and a member of the Supervisory Board of Dr. Johannes Heidenhain GmbH and MD Elektronik GmbH. Mr. Grimm has been a partner at WP Human Capital Group since October 2020.

Mr. Grimm has been an independent member and Deputy Chairman of the Supervisory Board of Amadeus Fire AG since 2021.

Mr. Grimm has been Chief Financial Officer of Leica Camera AG (Wetzlar, Germany) since 1st May 2022.

Heinrich Alt (born 1950, nationality: German) was an employee of the Federal Employment Agency (Bundesagentur für Arbeit) from 1977 until his retirement in 2015 and held management positions in several agencies, including director of the Bad Kreuznach Employment Office. From 2002 to 2015, he was a member of the Management Board of the Federal Employment Agency, responsible for labour market policy and basic social security. From 1998 to 2001, Mr. Heinrich Alt was State Secretary in the Ministry of Labour, Health and Social Affairs of the State of Schleswig-Holstein. Since 2015, he has been an honorary professor at the University of Applied Sciences of the Federal Employment Agency.

Mr. Alt is also a member of the Supervisory Board of AVECO Holding GmbH in Frankfurt/Main (Germany)

Mr. Alt has been an independent member of the Supervisory Board of Amadeus Fire AG since 2021.

Björn Empting (born 1987, nationality: German) has been working for COMCAVE.COLLEGE since 2018 and, in addition to sales functions, is responsible for business intelligence for this subsidiary of Amadeus Fire AG. Before joining COMCAVE.COLLEGE, the industrial engineer worked as a sales and investment controller at the headquarters of Douglas Parfümerie from 2013 to 2018. In addition, Mr. Empting held the position of commercial coordinator for Parfümerie Douglas Switzerland AG from 2017 and was also involved in the work of the Board of Directors in this role.

Mr. Empting has been a member of the Supervisory Board of Amadeus Fire AG since 2021.

Angelika Kappe (born 1960, nationality: German) has been a trade union secretary since 1989, initially responsible for social security, health, social services, welfare and churches. In 2006, five years after the United Services Union (ver.di) was founded, she became managing director of ver.di for the districts of Osthessen and Hanau.

In June 2016, she was elected deputy regional director of ver.di Hessen. She continues to hold this position today, with responsibilities including finance and information and communication technology.

Ms. Kappe has been an independent member of the Supervisory Board of Amadeus Fire AG since 2018.

Lena Markus (born 1983, nationality: German) has been working in marketing at Amadeus Fire AG since 2015 and is responsible for internal and external events for customers, candidates and employees. She previously worked in the events sector for large international hotel chains, including Kempinski Hotels and Hilton Hotels & Resorts, in Germany and abroad. Lena Markus holds a Bachelor of Arts in ‘International Hospitality and Tourism Management’ from IUBH International University in Bad Honnef.

Ms. Markus has been a member of the Supervisory Board of Amadeus Fire AG since 2024.

Annett Martin (born 1967, nationality: German) is a financial expert, auditor and tax advisor. She worked as an auditor at Arthur Andersen and EY from 1990 to 2012. As a partner in the audit department, she advised national and international medium-sized and large companies, including family businesses. She has extensive financial expertise in all areas relevant to business.

Ms. Martin has been working as a freelancer since 2013. She works as a finance mentor and advises shareholders, supervisory boards, management boards and managing directors on all finance-related issues. She also trains supervisory boards in large corporations. Furthermore, she supports companies in all matters relating to annual financial statements.

Ms. Martin has been an independent member of the Supervisory Board of Amadeus Fire AG since 2017.

Stefanie Mielast (born 1981, nationality: German) studied social sciences and worked as a research assistant at Goethe University Frankfurt/Main am Main and Technical University Darmstadt, specialising in event management and public relations. She subsequently worked in publications and public relations at a large NGO.

Stefanie Mielast has been a trade union secretary at ver.di Hessen since 2013, where she has been responsible for the call centre, technical testing organisations, tourism/travel and temporary staffing sectors in the special services department since 2018.

Ms. Mielast has been an independent member of the Supervisory Board of Amadeus Fire AG since 2021.

Christian Maria Ribic (born 1964, nationality: German) worked for various energy companies in the areas of press and public relations, international projects and as a lecturer in media design. His activities also included a teaching position at TU Dortmund. Since 2007, he has been employed as a trainer and lecturer at COMCAVE.COLLEGE and most recently at COMCAVE Recruitment GmbH.

Mr. Ribic is a member of the IHK examination committee for digital and print media designers and an honorary labour court judge.

Mr. Ribic has been a member and chairman of the works Council of COMCAVE Holding GmbH and its affiliated companies since 2019.

Mr. Ribic has been a member of the Supervisory Board of Amadeus Fire AG since 2021.

Dr. Ulrike Schweibert (born 1966, nationality: German) worked from 1995 to 2012 as a lawyer and, from 1999, as a partner in the employment law department at Freshfields Bruckhaus Deringer (respectively the legal predecessors) in Frankfurt/Main. Previously, she gained six months of international experience at a commercial law firm in New York. Since May 2012, Dr. Schweibert has been advising clients of the law firm Schweibert Leßmann & Partner in Frankfurt/Main together with her colleagues from Freshfields’ employment law practice group and other employment law experts who joined the firm after the formation.These include companies from a wide range of industries, DAX-listed corporations and medium-sized family-owned companies. The range of advisory services includes all labour law issues, but in particular matters relating to restructuring, outsourcing measures, personnel reduction measures, changes and restructuring of working conditions, and questions of company pension schemes.

Dr. Schweibert has extensive experience in negotiations with works councils and trade unions, as well as many years of forensic practice. She is also co-editor of the renowned restructuring handbook Willemsen / Hohenstatt / Schweibert / Seibt. As a long-standing member of the Labour Law Committee of the German Bar Association, she is regularly involved in new legislative proposals and their implementation in practice.

Dr. Schweibert has been an independent member of the Supervisory Board of Amadeus Fire AG since 2016.

Otto Kajetan Weixler (born 1958, nationality: German) began his professional career in 1984 after studying construction management at Philipp Holzmann AG, head office in Munich, where he quickly assumed responsibility in various commercial functions. After serving as commercial director of Philipp Holzmann Italy, he became sole managing director of the newly founded HSG Philipp Holzmann Technischer Service GmbH in 1992, which he built into a leading German facility management company before it was acquired by Bilfinger Berger AG in 2002. As Chairman of the Management Board of Bilfinger HSG Facility Management GmbH and Executive President of Bilfinger SE, he continued to expand the company into the German market leader for facility management with revenue of over €2 billion. Following the sale of the company from Bilfinger SE to Swedish financial investor EQT in 2017, Mr. Weixler continued to actively manage the business as Chairman of the Management Board of the renamed Apleona HSG GmbH before retiring from the company’s management at his own request in 2019 after 28 years.

Mr. Weixler has extensive expertise in establishing and expanding a service company to market leadership, has in-depth M&A knowledge and extensive experience in integrating acquired business units.

Mr. Weixler also played a key role in establishing GEFMA, the German industry association for facility management with more than 1,000 members, which he led as an honorary board member for 21 years, including 15 years as chairman, before being appointed honorary chairman at the end of 2019.

Mr. Weixler has been an independent member of the Supervisory Board of Amadeus Fire AG since 2021.

Jan Hendrik Wessling (born 1981, nationality: German) studied business administration at the University of Mannheim until 2010. After graduating with a degree in business administration, he initially worked as an executive assistant at Amadeus Fire AG. After working in sales at branches in Frankfurt/Main, Berlin and Münster, he moved to the Controlling department at the Group headquarters in Frankfurt/Main in 2014. Since 2014, Mr. Wessling has also been significantly involved as a project manager in the development and implementation of a new CRM system that maps all recruitment and sales activities in the Personnel Services segment. In 2019, he took over as head of the Controlling & Investor Relations department and has been Head of Business Excellence & Controlling since 2021.

Mr. Wessling has been a member of the Supervisory Board of Amadeus Fire AG since 2021, representing the senior executives.
