The Supervisory Board

It is the task of the 12-member Supervisory Board of Amadeus Fire AG to appoint, advise and monitor the Management Board. The Supervisory Board is also involved by the Management Board in the company’s strategic alignment and receives regular updates on the implementation of the strategy.

In accordance with the German Co-Determination Act, half of the members of the Supervisory Board are shareholders and half are employees. The individual members are introduced below.

Christoph Groß (born in 1953, nationality: German) is an independent, German certified public accountant. From 1999 to 2002 he was sole Managing Director of Arthur Andersen, Germany. After the merger of Arthur Andersen and Ernst & Young in Germany in 2002, he became Deputy Chairman of Ernst & Young, Germany.
In 2006 he became Managing Partner of the Central and Eastern European Area of Ernst & Young and member of the Executive Board of Ernst & Young Global. With the creation of the EMEIA Area (Europe, Middle East, India, Africa) in 2008, he took over as member of the Global Executive Board the function of the Managing Partner Operations in EMEIA up until 2010.

In 2010 he retired of Ernst & Young. Since then he is member of several Supervisory and Advisory Boards, besides being Chairman of the Advisory Board of Amadeus FiRe AG. His present board memberships are:

Since 2011, Mr Groß has been an independent member and chairman of the supervisory board of Amadeus Fire AG.

Dipl. Kfm. Michael Grimm (born 1960, nationality: German) studied business administration at the University of Frankfurt and initially worked for Arthur Andersen Wirtschaftsprüfungsgesellschaft as a tax consultant and auditor. From 1997 to 2002 he was with Hoechst AG and accompanied the transformation of Hoechst AG to Aventis. From 2002 to 2005, Mr. Grimm was the board member responsible for finance, controlling and investments at Grohe Water Technology AG & Co. KG, then managing director of Triton Beteiligungsberatung GmbH. From 2008 to 2020, he was commercial managing director of Dr. Johannes Heidenhain GmbH. From January 2019 to March 2020, Michael Grimm was a member of the Executive Board of Diadur SE and a member of the Supervisory Boards of Dr. Johannes Heidenhain GmbH and MD Elektronik GmbH. Since October 2020, Mr. Grimm has been a partner of WP Human Capital Group.

Since 2021, Mr. Grimm has been an independent member as well as deputy chairman of the supervisory board of Amadeus Fire AG.

Mr. Grimm has been Chief Financial Officer of Leica Camera AG since May 1, 2022.

Heinrich Alt (born in 1950, nationality: German) Between 1977 and his retirement in 2015, Heinrich Alt was an employee of the Federal Employment Agency (Bundesagentur für Arbeit) and a senior employee at several agencies; inter alia he worked as the director of the Bad Kreuznach employment agency. From 2002 to 2015, he was a member of the management board of the Federal Employment Agency, being responsible for labour market policies and basic social security benefits. From 1998 to 2001, Mr Heinrich Alt was State Secretary at the Schleswig Holstein Ministry of Labour, Health and Social Affairs. Since 2015, he has been teaching as an honorary professor at the University of Applied Labour Studies.

In addition, Mr Alt is a member of the supervisory board of AVECO Holding GmbH in Frankfurt/Main.

Since 2021 Mr Alt is independent member of the supervisory board of Amadeus Fire AG.

Björn Empting (born 1987, nationality: German) has been working for the COMCAVE Group since 2018 and, in addition to sales functions, is responsible in particular for the area of business intelligence for the subsidiary of Amadeus FiRe AG. Before joining COMCAVE.GROUP, the graduate industrial engineer worked as a sales and investment controller at the headquarters of the Douglas perfumery from 2013 – 2018. In addition, Mr. Empting held the position of commercial coordinator for Parfümerie Douglas Schweiz AG from 2017 and was also involved in the work of the Board of Directors in this function.

Mr. Empting has been a member of the supervisory board of Amadeus Fire AG since 2021.

Angelika Kappe (born 1960, nationality: German) is secretary of the union since 1989, initially responsible for the social security, health, social services welfare and churches. 2006 – 5 years after the United Services Trade Union (ver.di) was set up – she became manager of the districts Osthessen and Hanau.

In June 2016 she was elected vice chairwoman in ver.di Hessen which she does ever since. Her competences are amongst others finance and information / communication technology.

Since 2018 Mrs. Kappe is independent member of the supervisory board of Amadeus Fire AG.

Annett Martin (born 1967, nationality: German) is a financial expert, auditor and tax consultant. She worked as an auditor at Arthur Andersen and EY from 1990 to 2012. As an audit partner, she served national and international medium-sized and large companies, including family-owned businesses. She has extensive financial expertise in all areas relevant to companies.

Since 2013, Ms. Martin has been working as a freelancer. She acts as a finance mentor and advises shareholders, supervisory boards, management boards and managing directors on all finance-related issues. In addition, she trains supervisory boards in large corporations. Furthermore, she supports companies in all topics relevant to annual financial statements.

Since 2017, Ms. Martin has been an independent member of the Supervisory Board of Amadeus Fire AG.

Stefanie Mielast (born 1981, nationality: German) worked as a research assistant at the Goethe University in Frankfurt am Main and at the Technical University of Darmstadt, specializing in event management and public relations, after completing her studies in social sciences. Subsequently, she worked in the field of publications and public relations for a large NGO.

Since 2013, Stefanie Mielast has been a trade union secretary at ver.di Hessen, where she has been responsible for the temporary employment, tourism/travel, call center and technical testing organizations sectors as a trade union secretary in the ver.di Special Services Department since 2018.

Ms. Mielast has been an independent member of the Supervisory Board of Amadeus Fire AG since 2021.

Christian Maria Ribic (born 1964, nationality: German) worked for various corporations in the energy industry in the areas of press and public relations, international projects and as a lecturer in media design. His activities also included a teaching position at the TU Dortmund University. Since 2007 he has been employed as a trainer and lecturer at Comcave College GmbH and most recently at Comcave Recruitment GmbH.

Mr. Ribic is both a member of the IHK examination committee for digital and print media designers and an honorary labor judge at the labor court.

Since 2019, Mr. Ribic has been a member and Chairman of the Works Council of Comcave Holding GmbH and its affiliated companies.

Since 2021, Mr. Ribic has been a member of the Supervisory Board of Amadeus Fire AG.

From 1995 to 2012, Dr. Ulrike Schweibert (born 1966, nationality: German) worked as an attorney (since 1999 as partner) in the practice group Employment Pensions Benefits at Freshfields Bruckhaus Deringer (and its legal predecessors) in Frankfurt/Main. Prior to that she gained international experience at a commercial law firm in New York for half a year. Since May 2012 Dr. Schweibert has advised her clients in the law firm Schweibert Leßmann & Partner in Frankfurt/Main together with her colleagues from the employment law practice group of Freshfields and other employment law experts who have joined the firm after its foundation. As before, her clients include companies from a wide variety of sectors, including DAX corporations as well as medium-sized family enterprises. Her range of advice includes all employment law-related matters, in particular issues related to restructurings, outsourcing measures, corporate downsizing, changes and restructuring of working conditions as well as matters involving pensions.

Dr. Schweibert has extensive experience in negotiating with works councils and trade unions as well as longstanding forensic practices. Furthermore, she is co-editor of a respected reference work on restructurings (Umstrukturierungshandbuch Willemsen/Hohenstatt/ Schweibert/Seibt). As a longstanding member of the employment law committee of the German Bar Association (DAV) she regularly deals with new legislative procedures and its practical implementation.

Since 2016 Dr. Schweibert is independent member of the supervisory board of Amadeus Fire AG.

Otto Kajetan Weixler (born in 1958, nationality: German) After his construction management studies (Baubetriebswirtschaftslehre), Mr Otto Kajetan Weixler (born in 1958) began his career with Philipp Holzmann AG, Munich headquarters in 1984, where he soon assumed responsibility in various commercial functions. After his position as Commercial Director at Philipp Holzmann Italy, he became the sole managing director of HSG Philipp Holzmann Technischer Service GmbH in 1992, which had just been established and which he developed into a leading German facility management company before the company was acquired by Bilfinger Berger AG in 2002.

Under Bilfinger, too, he continued the expansion of the company, making it the German leader in facility management with revenues of more than 2 billion euros, in his capacity as the head of the management of Bilfinger HSG Facility Management GmbH and as Executive President of Bilfinger SE. After Bilfinger SE had sold the company to the Swedish financial investor EQT 2017, Mr Weixler continued to actively manage the business of Apleona HSG GmbH, which was its new name, as the head of the management, before retiring from the company’s management in 2019 of his own accord after 28 years.

Mr Weixler has extensive know-how in the development and expansion of a service provider, making it the leading player in the market, he has considerable knowledge in the field of M&A and great experience in the integration of business units acquired.

In addition, Mr Weixler made a significant contribution to the development of the GEFMA, the German Facility Management Association, which has more than 1,000 members and which he managed for 21 years as an honorary management board member, 15 years of which he was chairman, being appointed honorary chairman in late 2019.

Since 2021 Mr Weixler is independent member of the supervisory board of Amadeus Fire AG.

Jan Hendrik Wessling (born 1981, nationality: German) studied business administration at the University of Mannheim until 2010. After graduating with a degree in business administration, he initially worked as an executive assistant at Amadeus Fire AG. After sales activities in the Frankfurt, Berlin and Münster branches, he moved to the controlling department at the group headquarters in Frankfurt in 2014. Since 2014, Mr. Wessling has also played a key role as project manager in the development and implementation of a new CRM system that maps all recruiting and sales activities in the HR Services segment. In 2019, he took over as Head of Controlling & Investor Relations, and since 2021 he has been Division Manager Business Excellence & Controlling.

Since 2021, Mr. Wessling has been a member of the Supervisory Board of Amadeus Fire AG as a representative of senior executives.
